Terms & Conditions

These Terms & Conditions apply to every quotation, proposal, work order, or contract accepted by the Client unless otherwise agreed in writing. By accepting a quotation, whether electronically, in writing, or by authorizing work to begin, Client acknowledges these Terms & Conditions were made available prior to acceptance at www.acedoor.com/terms, are incorporated into the accepted quotation by reference, and form part of the agreement between the parties.

1. Scope of Work

Ace Door & Window Company, Inc. will furnish the products and perform the services described in the accepted quotation. Any work outside the original scope, including unforeseen conditions or Clientrequested changes, requires a written change order and may result in additional charges and schedule adjustments.

2. Payment Terms

A deposit equal to fifty percent (50%) of the contract price is due before work begins unless otherwise agreed in writing. The remaining balance is due upon substantial completion of the project. Substantial completion means the products have been installed and are operational, notwithstanding minor punch-list items that do not materially aƯect the intended use of the products. Past-due balances shall accrue interest at 1.5% per month, with a minimum late charge of $35.

3. Concealed Conditions

The quoted price does not include hidden or unforeseen conditions including, but not limited to, wood rot, structural deficiencies, termite damage, mold, water intrusion, code deficiencies, or other concealed conditions that are not visible at the time of estimating. If such conditions are discovered, additional work shall require Client approval and may result in additional charges.

4. Exclusions

Unless specifically included in the quotation, painting, staining, drywall repair, alarm reconnection, nail fill, permitting fees, electrical work, plumbing work, and similar finish work are excluded.

5. Lead Times & Delays

All delivery and installation dates are estimates only. Ace Door & Window shall not be responsible for delays caused by weather, permitting, inspections, manufacturer delays, material shortages, labor shortages, utility companies, other contractors, customer-requested changes, or other circumstances beyond its reasonable control.

6. Customer Responsibilities

Client shall provide safe and reasonable access to the work area and remove furniture, window treatments, vehicles, security sensors, and other obstructions before installation. Delays or return trips caused by restricted access, site conditions, or customer scheduling conflicts may result in additional charges.

7. Customer-Supplied Products

Ace Door & Window assumes no responsibility for the condition, compatibility, operation, or performance of customer-supplied or previously used locks, hardware, or accessories. Service calls related to such items may be billed at the Company's current service rates.

8. Permits & HOA

Where included within the contracted scope, Ace Door & Window will obtain required building permits and perform work in compliance with applicable building codes. The Client remains solely responsible for obtaining HOA approvals, architectural review approvals, condominium approvals, and compliance with any private restrictions unless specifically stated otherwise.

9. Limited Liability

Ace Door & Window shall be responsible only for damage directly caused by its negligence during performance of the contracted work. The Company shall not be liable for pre-existing conditions, concealed defects, structural deficiencies, mold, termite damage, water intrusion existing prior to installation, settlement, movement of the structure, or conditions beyond its reasonable control. To the fullest extent permitted by law, the Company shall not be liable for incidental, consequential, special, or indirect damages.

10. Warranties

Manufacturer warranties, if any, are provided solely by the product manufacturer and are subject to that manufacturer's terms and limitations. Ace Door & Window's labor warranty is limited to the written warranty provided with the project and does not cover normal wear, abuse, misuse, lack of maintenance, acts of God, or failures caused by conditions outside the Company's control.

11. Cancellation

Orders for custom or special-order products cannot be canceled after materials have been ordered. If Client cancels the project after acceptance of the quotation, Client agrees to reimburse Ace Door & Window for labor performed, materials ordered, freight, restocking charges, permit fees, and all other reasonable costs incurred prior to cancellation. Products paid for by the Client shall become the Client's property upon payment in full.

12. Legal

This Agreement shall be governed by the laws of the State of Florida. Venue for any legal proceeding shall lie exclusively in Duval County, Florida. The prevailing party in any action arising from this Agreement shall be entitled to recover reasonable attorney's fees and court costs. The accepted quotation together with these Terms & Conditions constitute the entire agreement between the parties and supersede all prior discussions or representations. No modification shall be eƯective unless made in writing and signed by both parties. Electronic signatures and electronic acceptance of quotations shall have the same force and eƯect as original signatures.
